PART I

TERMS AND CONDITIONS FOR USERS/VISITORS
The Terms of use (including the Privacy Policy) of Thatsmyscript are legally binding on all users, visitors, advertisers, creators and contributors of this Thatsmyscript website. By using, visiting or advertising on this website, you hereby agree to be bound by the following Terms and Conditions; (including Privacy Policy), which may be amended or updated from time to time:

1. OBJECTIVE OF THATSMYSCRIPT
Thatsmyscript is a website dedicated to providing an online library archive resource for various published and/or unpublished Ad films. By permitting users to upload Ad films and other related videos, Print ads and other related prints, Radio spots and other related programs (hereinafter all together referred to as “the content”) on the website, Thatsmyscript provides a database of said films to the public, purely for personal viewing, research, teaching, studying or reporting purposes. The website may be used by anyone, provided that the purpose of using the website is solely for personal use, as defined under the Article 107 for Fair Use in Circular 92 relating to the Copyright Law of United States. We strictly discourage any copyright infringement by users of this website, and hence, prohibit the users and/or visitors of this website from downloading, copying, reproducing, distributing, transmitting, broadcasting, displaying, selling, licensing, or otherwise commercially exploiting for any purpose any content from this website (other than what has been specifically authorized by us), without the prior written consent of the respective copyright owners. In an event where we are notified of any such infringement by users or visitors of this website, we shall immediately disable your account and wherever required by a court order, provide our assistance to the respective copyright owners in bringing a legal action against such infringing parties.

2. GENERAL CONDITIONS FOR USE
(i)  You shall not use Thatsmyscript website if you are below 14 years of age. You shall not display or provide any false or misleading personal information on Thatsmyscript, nor will you create an account for any party other than yourself, except with a proper authorization from such other party.
(ii)  You agree not to abuse, stalk, defraud, harass, threaten, impersonate or intimidate other users of Thatsmyscript.
(iii)  You agree not to store or upload any sensitive/confidential, illegal, hateful, pornographic, violent or stolen information on Thatsmyscript website.
(iv)  You shall not use Thatsmyscript.com service for any illegal or unauthorized purpose. International users agree to comply with all local and international laws regarding online conduct and acceptable content.
(v)  You will not upload or send malware or unsolicited commercial bulk emails “Spam” to other users of Thatsmyscript.com.
(vi)  You shall not, at the time of upload, modify, amend, change, alter or distort any original content (unless where such modification or amendment is necessary to delete any section containing racial, derogatory, pornographic or defamatory content), without the express authorisation of the respective copyright owners.
(vii)  You shall be solely liable for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, links ("Content") that you submit, post, and display on the Thatsmyscript.com service.
(viii)  You shall not use the content uploaded on this website, in any manner which is contrary to what has been permitted or authorized in through this website. You are not allowed to modify, enhance, edit, translate (unless where specifically authorized under the feature of subtitles), adapt, reverse engineer, decompile, disassemble, or create derivative works based upon or otherwise alter in part or in full any Content uploaded on Thatsmyscript website.
(ix)  You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another user at any time or to disclose your password to any third party. You agree to notify Thatsmyscript immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

3. RIGHT TO REFUSE CONTENT UPLOAD
Thatsmyscript reserves the right, in its sole discretion, to reject, refuse to post or remove any content uploaded on this website, irrespective of the nature or copyright ownership of such content, or to deny, restrict, suspend, or terminate user account and access to a specific or entire website at any time, for any or no reason, with or without prior notice or explanation, and without liability. In an event where any user/visitor is held liable for violation of Terms and Conditions (including Privacy Policy) of this website, Thatsmyscript expressly reserves the right to remove any or all of such user’s/visitor’s uploaded content, account and profile as well as, to deny, restrict, suspend, or terminate such user’s/visitor’s access to all or any part of the website.

4. PROBLEMS WITH CONTENT DOWNLOAD
Thatsmyscript specifically disclaims any and all liablity towards slow or distorted quality of content download, whether for video, print or radio content, in events beyond its reasonable control. We do however, intend to make the experience as enjoyable as possible for you and hence require you to immediately notify Thatsmyscript, if facing problems with content download.

5. INTELLECTUAL PROPERTY RIGHTS
5.1 Third Party Intellectual Property Rights:
You expressly understand and agree that:
(i)  The content uploaded on this website may consist of third party intellectual property rights.
(ii)  In an event where you are a user or visitor and have uploaded any content on the website, you understand that we reserve the right to remove such content, for any purpose, without providing prior notification to you.
(iii)  In an event that you are the copyright owner of any content uploaded on this website and do not wish to publish your content to go public thorough this website, for any purpose including fair use, please submit a written notification to our legal department at legal@thatsmyscript.com along with the following documents, to evidence your copyright ownership:
  (a)  Written statement providing details of copyright material allegedly infringed through Thatsmyscipt website, details of individual(s) or parties that have allegedly infringed the copyright owner’s Intellectual property right (if available) and whether the material is suspected to have been used for purposes other than ‘fair use’;
  (b)  A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  (c)  Original or certified copyrighted work purportedly infringed and details of website or source at which such copyrighted work is registered.
  (d)  Contact details of the complainant. Contact details include full name, address, telephone number, and, electronic mail address at which the complaining party can be contacted.
Upon receipt of such documents and your notification, we shall undertake a complete investigation and remove any valid copyright material from the website within a period of forty eight (48) hours. Since this website is dedicated to providing material to public for fair use purpose, you shall not, as copyright owner, have any right to bring an action of infringement or purported infringement against Thatsmyscript, except in an event where we fail to remove your copyright material from the website after the above mentioned period of 48 hours of being notified. Please note that in an event of any false claim or misleading claim of copyright, we reserve our right to bring a legal action against such fraudulent complainant.
(iv)  In an event where a user/visitor or copyright owner of any material uploaded on this website comes across other users/visitors of this website who have illegally downloaded, copied, reproduced, distributed, transmitted, broadcasted, displayed, sold, licensed, or otherwise commercially exploited for any purpose any content from this website (other than what has been specifically authorized by us), you shall immediately notify our legal department, whereby we shall take appropriate action against such user/visitor.
(v)  We specifically disclaim our liability in an event of any misappropriation and/or piracy of any material uploaded on this website, and Thatsmyscript shall not be held liable in any such event.
(vi)  Thatsmyscript very clearly distinguished between content which is permitted to be downloaded and material which is merely for personal viewing (or fair use). All content authorized to be downloaded has been provided with a “download” icon or similar link. In an event where such link has not been provided, you shall not be authorized to download, copy or reproduce such content. You shall not use any other technology to circumvent Thatsmyscript’s authorization regarding downloading, copying or reproduction of any content on this website.
(vii)  You agree not to copy, download or sell the contents or part of any content uploaded by other users on this website (other than what has been authorized), without Thatsmyscript's prior authorization.
(viii)  In an event where you are downloading any content permitted to be downloaded from Thatmyscript website, you expressly understand and agree that such download shall be for personal viewing or research purpose. In no event shall you be permitted to earn profits or commercially exploit such downloaded material, unless expressly authorized by Thatmyscript or copyright owner of such material. Any use of Print ads on your personal piece of clothing, even for personal use, may give rise to an action of intellectual property infringement by the owners and Thatsmyscript disclaims all liability towards the same.
(ix)  Broadcasting downloaded radio ads of brands on commercial property may be prohibited under the intellectual property rights of the respective owner. You are required to take all necessary permisions and authorisations before using any downloaded content on commercial premises.

Third Party Intellectual Property Rights on Profile Page
(x)  The display of logos on the Profile page is SOLELY for reference and classification of the films, and no party, other than the Intellectual Property Owner of the relevant logo, shall be permitted to download or modify the same.
(xi)  The chronology of logo(s) is in alphabetical order and in no way represents order of priority based on any other criteria.
(xii)  In an event where any party, other than the Intellectual Property owner of the relevant logo, downloads or modifies the same, such an action shall constitute a breach of the relevant Intellectual Property owner’s rights, making such party liable for any criminal or civil action.
(xiii)  If you are the Intellectual Property owner of the logo(s) displayed on Portfolio page, you have a right to advise us to modify the logo(s) from the said page by submitting a written notification to our designs department legal@thatsmyscript.com along with evidence of your Intellectual property ownership and logo modification specifications and we shall make the relevant modifications within a period of 72 (seventy two) hours.
(xiv)  If you are the Intellectual Property owner of the logo(s) displayed on Portfolio page, you have a right to advise us to remove the logo(s) from the said page by submitting a written notification to our legal department at legal@thatsmyscript.com along with documents evidencing your Intellectual Property ownership and we shall remove the same within a period of 48 hours. Since the logo(s) are merely for reference and easy categorization of Ad films for users, you shall not, as Intellectual Property owner, have any right to bring an action of infringement or purported infringement against Thatsmyscript.
(xv)  If you are the Intellectual Property owner of the logo(s) displayed on Portfolio page and discover an infringement of your Intellectual Property right in relation to the logo(s) by a user of this website, we shall extend every support to assist you with any legal action against such infringing party.
(xvi)  (i)The company history and background of each brand, provided in Portfolio page has been prepared as per the information available in public domain. As Intellectual Property owner of the company or said brand, you do not have any right to bring an action against Thatsmyscript, for publishing incorrect or incomplete information regarding the company, brand, Ad Film or company officials; in an event where such information is available in such incorrect or incomplete form in public domain. Should you require us to modify or correct any such information, please write to our designs team at legal@thatsmyscript.com.

5.2. Thatsmyscript's Intellectual Property Rights
(i)  Thatsmyscript owns all copyright in any compiled material which may be authorized to be downloaded through this website.
(ii)  In an event where you are the copyright owner of individual material(s) or part of material(s) compiled, you understand and agree that your copyright ownership is limited to such individual material(s) or part thereof and Thatsmyscript shall continue to own rights in the compiled works. You shall have a right to license, assign or sell your individual material to any third parties; however, you shall have no right to license, assign, sell or commercially exploit the compilation prepared by Thatsmyscript, without our prior written consent.
(iii)  Any interviews or commentaries recorded specifically for compiled material authorized to be downloaded through this website are the copyright material of Thatsmyscript.
(iv)  In an event that you are a user/visitor of this website, you shall not make, sell, distribute or commercially access any unauthorized copies of material compiled by Thatsmyscript, available on this website.
(v)  During the term of your use of this website, and subject to your compliance with the terms and conditions of this Agreement (including the Privacy Policy), you shall not use the trademarks, tradelicense, logo or any other identification mark of Thatsmyscript, for any purpose other than in connection with your permitted activities on this website. You agree that the Thatsmyscript’s Marks and all associated goodwill are and will remain the sole property of Thatsmyscript, that any goodwill generated as a result of your licensed use of Thatsmyscript Marks belongs exclusively to Thatsmyscript and inures solely to the benefit of Thatsmyscript. If you wish to use the logo, name or link of Thatsmyscript on your website or profile, you shall follow the instructions provided in Part IV below of this page.
(vi)  In an event where, as user of this website, you provide any opinion for improvising or enhancing the services or content of Thatsmyscript, upon implementation of such opinion, the final product or service shall become the sole property of Thatsmyscript and we shall have a right to further license, sell or assign the rights in such property to any third party, without your consent. You specifically understand and agree that by providing opinions for amendment or addition of product/service to Thatsmyscript, upon implementation of the same, you shall have no right to claim ownership to any extent, unless if agreed in writing by That’s It MFZE Group, prior to implementation of the same.

6. PROHIBITED CONTENT
You agree not to upload or distribute any data through Thatsmyscript website which is in any manner inconsistent with any and all applicable laws and regulations. The following content is considered illegal and is prohibited from being uploaded on or through Thatsmyscript website. Any content which:
(a)  is offensive or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
(b)  contains nudity, excessive violence, or offensive subject matter or contains a link to an adult website;
(c)  is against the privacy laws of any country;
(d)  is defamatory or libelous;
(e)  promotes an illegal or unauthorized copy of another person’s copyrighted work;
(f)  is bulk commercial solicitation termed under "junk" or "spam", is malware or malicious
(g)  is illegal or criminal in nature, or provides information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses; or
(h)  violates the privacy rights, publicity rights, defamation rights, copyrights, trademark rights, contract rights or any other rights of any person.
The above mentioned prohibited activities are inclusive in nature and are in no event, exhaustive. Thatsmyscript reserves the right to block and delete the account of any individual who indulges in any of the prohibited activities set out in these terms of use

7. TERMS OF DOWNLOAD
Thatsmyscript permits you to download ad films and print ads and radio spots of the brands, for a subscription fee. By using the website, you agee to the following terms for download:
(a)  iYou may not download any material from the website, without proper authorisation and payment of requisite fee. Any individual or parties found to be in violation of this, shall be liable for liquidated damages suffered by us;
(b)  Any download from this website shall be solely for personal and/or educational use and no individual or party is permitted to use the downloaded material for public use or commercial gain, without the prior consent of Thatsmyscript or the relevant copyright owners.
(c)  You may not use the downloaded content, or any part of such content, whether in the form of ad films, print ads or radio spots, for any defamatory purpose, including but not limited to brand hatred website pages.
(d)  The subscription fee paid by users for download of material through this website is solely to enable users to transfer data for personal and/or educational purposes and does not confer any kind of ownership or title on the downloaded material.
(e)  The download terms of use are for your understanding and shall not be considered to be all inclusive. Any download or use of downloaded material that causes or purpotes to cause any financial and/or reputational damage to Thatsmyscript or copyright owners of relevant ad films, may give rise to an action of tort or criminal act against the infringing party.
(f)  Thatsmyscript reserves its right to terminate the account membership or intiate a legal action against any parties found to be in breach of download terms of use.

8. CUTOMISE THE PAGE
Thatsmyscript permits you to customise the page, as per your preferences. You hereby understand that page customisation does not give you a right over ownership or co-ownership of the website, page or any intellectual property rights. Thatsmyscript reserves its right to change the page customised by you, at any given time, without prior notification.

9. LIMITATION OF LIABILITY
Thatsmyscript, in its capacity as the host, shall use its best endeavors to prohibit unwanted, illegal or infringing material from being uploaded on or transmitted though this website. However, nothing shall legally bind us to assume a complete liability to monitor content uploaded on or monitored through this website. Our responsibilities shall be restricted to:
- issuing a clear and adequate warning to the users/visitors of the website against any unauthorized or illegal use;

THATSMYSCRIPT OR ANY OF ITS RELATED ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES (INCLUDING LOSS OF USE, DATA OR PROFITS, COST OF PROCURING SUBSTITUTE PRODUCTS OR BUSINESS INTERRUPTION), WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THATSMYSCRIPT PRODUCTS/SERVICES, YOUR PARTICIPATION IN ANY OF THATSMYSCRIPT PARTNER PROGRAM OR USE OF ANY MATERIALS AVAILABLE TO YOU FROM OR THROUGH THATSMYSCRIPT PARTNER PROGRAM (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES), WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT THATSMYSCRIPT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THATSMYSCRIPT'S LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO THATSMYSCRIPT FOR THATSMYSCRIPT’S PRODUCTS, SERVICES OR PARTICIPATION IN THATSMYSCRIPT’S PARTNER PROGRAM.
In an event where a court of any jurisdiction limits or do not legally recognizes the disclaimer of warranties or damages, the above disclaimer shall apply to the extent to which the said law applies to this agreement.

10. GOVERNING LAW; ARBITRATION
This Agreement (Terms of use including Privacy Policy) shall be governed by and construed in accordance with the laws of the State California, excluding its conflicts of laws principles. Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate (except under an action of Injunctive Relief), shall be submitted to the American Arbitration Association.
Injunctive Relief: In an event where any action or breaches by you causes or threatens to cause irreparable damage to Thatsmyscript, for which damage there is no adequate remedy at law, Thatsmyscript shall have the right, notwithstanding the clause of Governing Law: Arbitration above, to seek a temporary restraining order, preliminary injunction, specific performance or other interim or conservatory relief from any court having jurisdiction, without any abridgment of the power of the arbitrator, for such breach.

11. SEVERABILITY
If any provision or any portion of provision of these Terms of use (including Privacy Policy) is determined to be unenforceable or invalid for any reason whatsoever, that unenforceability or invalidity shall not affect the enforceability or validity of the remaining portions of these Terms of use and such unenforceable or invalid section, provision, term or portion thereof shall be severed from the remainder of these Terms of use.

Thatsmyscript requires you to provide certain personal information in order to register with the website. Thatsmyscript is committed to protecting your privacy when you visit the website or use our services. You agree and understand that when you visit or use the services of Thatsmyscript, we may collect information that is specific to how you access and interact with Thatsmyscript’s services or products. This information is including but not limited to your title, name, postal address, phone number and email address as well as your computer's unique IP address (if any), financial information (credit card number, etc.,in an event of purchase of any product or service from Thatsmyscript website) and demographic information (e.g., zip code, postal code, hometown, gender, purchase history information and age as well as IP addresses that are not unique to your computer). Thatsmyscript shall not, in any event, knowingly collect contact information or financial information from children under the age of 14 or collect any sensitive financial information like bank pin numbers or financial passcodes. Thatsmyscript is a part of That’s It FZE Group and you understand that any information collected from you is saved in the records of That’s It Group, in your capacity as a customer of That’s It Group. You further understand that all such information may be used for promotion of That’s It Group’s products and services. You hereby agree and understand that your personal information (except your financial details) collected by Thatsmyscript maybe shared with Thatsmyscript’s partners, affiliates, vendors, advertisers, sponsors or other third parties, unless unauthorised by law. In an event where we share such information with any partners, affiliates, vendors, advertisers, sponsors or other third parties, you shall not have any claim against Thatsmyscript. You further understand and agree that such partners, affiliates, vendors, advertisers, sponsors or other third parties may provide you the option of ‘unsubscribing’ from their mailing list and in an event that you do not wish to receive any update or information from said partners, affiliates, vendors, advertisers, sponsors or other third parties, you shall avail the option of ‘unsubscribing’ from their lists. All your actions and claims against such partners, affiliates, vendors, advertisers, sponsors or other third parties shall be directly with them and Thatsmyscript shall not, to any extent, be held liable for any infringement of your rights by such partners, affiliates, vendors, advertisers, sponsors or other third parties.
You are advised to review our privacy policy from time to time, as it may be updated or amended periodically. You agree that by using Thatsmyscript website you are expressly and affirmatively consenting to our use and disclosure of the information that you provide, and consenting to receive emails from Thatsmyscript, That’s It Group or any other partners, affiliates, vendors, advertisers, sponsors or other third parties. In an event of any change or modification in our Privacy Policy, we shall notify you of the amendment though our website so that you can always review what information we gather, how we might use that information, and under which conditions we will disclose it to anyone.
Thatsmyscript specifically disclaims any liability in an event where the computers at Thatsmyscript are compromised by cyber criminals and where such information is collected and disseminated without our knowledge or consent. We shall, however, make every effort to avoid any such eventuality.

PART III

TERMS AND CONDITIONS FOR ADVERTISERS
In an event that you wish to advertise with Thatsmyscript, you specifically agree to the terms and conditions set out hereunder:
1.  Only authorized individuals shall be permitted to place advertisements on behalf of a company or corporate.
2.  In order to advertise with us, you shall be required to provide us with details like the advertising package required by you, your budget and your bid. In an event that we accept your bid, your ad shall be displayed in order of highest bidding priority.
3.  Thatsmyscipt shall have the sole authority to determine the size, type, positioning and date of publication of your Ad on the website.
4.  Thatsmyscript shall assume no liability, in an event where there is a delay in providing a platform to place your Ad or where your bid is not given priority due to other higher bids.
5.  For making any payment, you shall comply with our Payment Terms.
6.  You shall not use any unlawful or prohibited content in your Ads which may be offensive to any individual, communities or groups. Your Ads shall comply with any local or international laws and in any event where we receive a notice from any relevant authorities categorizing your Ads as offensive or unlawful, we shall have a right to remove such Ad from Thatsmyscript website.
7.  You agree and undertake not to sell or promote any nefarious activity, or any other illegal substance either directly or indirectly through your Ad on Thatsmyscript. You further agree that you shall not sell, promote or otherwise advertise any alcohol or alcohol based products within the region of Gulf and Middle East.
8.  Thatsmyscript shall assume no liability, nor shall we warranty the response that you may receive on your Ads or the number of clicks per Ad.
9.  You shall indemnify and hold harmless, Thatsmyscript and all its associates, partners, employees, agents and personnel against any third party lawsuits filed against you pursuant to your Ad or related activities.
10.  You shall not, either publically or privately, present yourself to be a partner, associate, agent or employee of Thatsmyscipt. In an event where any such misrepresentation is made by you, Thatsmyscript shall have a right to bring an action of fraud against you under any jurisdiction.
11.  You specifically agree not to defraud, mislead or encourage a user/visitor of Thatsmyscript to speculate through your Ad. In an event where Thatsmyscript is notified of any such action, we reserve our right to immediately remove your Ad from our website for infringement of our terms and bring a legal action against you.
12.  In an event where you cancel or terminate your Advertisement order with us, prior to completion of your Advertising period, it may take us a period of upto seven (7) days before removing your Ad from the website. In any such event, you shall be liable to pay for the days during which the Ad remains active on our website.
13.  Thatsmyscript reserves its exclusive right to reject or refuse to run your Ad for any reason whatsoever.
The following content is deemed illegal and is categorized under Prohibited Content for Advertising. Any content which:
(a)  is offensive or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
(b)  contains nudity, excessive violence, or offensive subject matter or contains a link to an adult website;
(c)  is against the privacy laws of any country;
(d)  is defamatory or libelous;
(e)  Content that advocates against any organization, person, or group of people, with the exception of candidates running for public office;
(f)  promotes an illegal or unauthorized copy of another person’s copyrighted work;
(g)  is bulk commercial solicitation termed under “junk” or “spam”, is malware or malicious;
(h)  is illegal or criminal in nature, or provides information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;

You will not, directly or indirectly, generate automated, fraudulent or otherwise invalid Advertising Actions. In any event where Thatsmyscript discovers or is notified of any activity related to your advertising account has been deliberately suspended or is a means to increase impressions, skew results, is fraudulently intended as a means of generating revenue, or where clicking on your website opens an unrelated third party website, Thatsmyscript may suspend or otherwise disable your Advertising account until such time as the matter is resolved.

You can use Thatsmyscript logos on your website, blog, or social networking profile, subject to the following standard guidelines.
What to do
Whenever you use our logo, make sure it is linked back to Thatsmyscript website.

Do not stretch the logo unevenly i.e. horizontally or vertically. This will distort the logo.
